1. Agreement to Terms

By using OatCode ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

OatCode provides AI-powered website design, development, hosting, and maintenance services for small businesses. Our Service includes:

• Custom AI-generated website design and development
• Web hosting on secure, reliable servers
• Regular website maintenance and updates
• 24/7 AI-powered customer support
• Technical support and troubleshooting
• Domain management assistance

3. Subscription and Pricing

Monthly Subscription: $197/month

What's Included:

• Complete website design and development
• Unlimited hosting bandwidth
• Regular content updates (up to 5 updates per month)
• SSL certificate (secure HTTPS)
• Mobile-responsive design
• 24/7 customer support
• Regular backups
• Performance optimization

Billing: Subscriptions are billed monthly in advance. Your first payment is due upon signup, and subsequent payments are automatically charged on the same day each month.

4. Free Trial and Initial Setup

We provide a free demo website before you commit to our service. Once you subscribe, your professional website will be delivered within 24-48 hours.

5. Cancellation and Refunds

30-Day Money-Back Guarantee: If you're not satisfied with our service within the first 30 days, we'll provide a full refund, no questions asked.

Cancellation: You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period. No refunds are provided for partial months (except within the 30-day guarantee period).

6. Your Responsibilities

You agree to:

• Provide accurate business information for your website
• Provide content, images, and materials needed for your website (or allow us to generate them)
• Maintain a valid payment method on file
• Use the Service for lawful purposes only
• Not use the Service to distribute malware, spam, or illegal content
• Notify us immediately of any unauthorized use of your account

7. Our Responsibilities

We commit to:

• Deliver your website within 24-48 hours of subscription
• Provide 99.9% uptime for website hosting (excluding scheduled maintenance)
• Respond to support requests within 24 hours (usually much faster)
• Keep your website secure and backed up
• Process content update requests within 48 hours

8. Intellectual Property

Your Content: You retain all rights to the content you provide (text, images, logos, etc.).

Website Design: The website design and code are licensed to you for use while you maintain an active subscription. Upon cancellation, you may export your content, but the design and hosting are no longer available.

AI-Generated Content: Any AI-generated content (text, images) created for your website becomes yours to use.

9. Website Ownership and Data

During Active Subscription:

• Your website is hosted on our servers
• You have full access to your website and content
• We provide regular backups

Upon Cancellation:

• We'll provide a copy of your website content upon request (within 30 days)
• Your website will remain live until the end of your billing period
• After 30 days, the website and backups will be permanently deleted

10. Service Limitations

Our Service does not include:

• E-commerce functionality (online store, shopping cart)
• Custom software development or complex web applications
• Domain registration (we can help you register separately)
• Email hosting (separate service available)
• More than 5 content updates per month (additional updates available for extra fee)

11. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the last 3 months
• We are not responsible for loss of business, revenue, or data due to website downtime (though we strive for 99.9% uptime)
• We are not responsible for third-party services (domain registrars, payment processors, etc.)

12. Warranty Disclaimer

The Service is provided "as is" without warranties of any kind, express or implied. We do not guarantee that:

• Your website will rank #1 on Google
• You will get a specific number of visitors or customers
• The Service will be completely error-free or uninterrupted

However, we do guarantee professional quality and will work with you to ensure you're satisfied with your website.

13. Prohibited Uses

You may not use our Service for:

• Illegal activities or content
• Adult content, gambling, or weapons sales
• Pyramid schemes or multi-level marketing
• Spam, phishing, or malware distribution
• Copyright or trademark infringement
• Hate speech, violence, or harassment

Violation of these terms may result in immediate termination without refund.

14. Changes to Terms

We may update these Terms of Service from time to time. We'll notify you of significant changes via email at least 30 days in advance. Continued use of the Service after changes constitutes acceptance of the new terms.

15. Changes to Pricing

We reserve the right to change our pricing. Existing customers will be grandfathered at their current rate for at least 6 months after any price change. We'll provide 60 days notice before any price increase affects your account.

16. Termination

By You: Cancel anytime by contacting us.

By Us: We may terminate your account if you:

• Violate these Terms of Service
• Fail to pay your subscription fees
• Use the Service for prohibited purposes
• Abuse our support team

Upon termination, you'll receive a prorated refund for any unused days (except in cases of Terms violations).

17. Dispute Resolution

Informal Resolution: If you have any issues, please contact us first. We'll work hard to resolve your concerns.

Arbitration: Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court.

Class Action Waiver: You agree to resolve disputes individually, not as part of a class action.

18. Governing Law

These Terms are governed by the laws of the State of [YOUR STATE], without regard to conflict of law principles.

19. Force Majeure

We are not liable for failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet outages, or government actions.

20. Severability

21. Entire Agreement

These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and OatCode.
